Terms & Conditions

Effective date: 19 September 2025

Thank you for choosing BAISS. These Terms & Conditions ("Terms") govern your access to and use of the BAISS desktop application (the "App") and the website located at baiss.ai (the "Website"), together the "Service". By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who We Are

BAISS is the first private desktop application that processes, searches, analyzes, and summarizes all your files to deliver fast, reliable, and traceable answers.

2. Scope & relationship to Privacy

These Terms work together with our Privacy Policy (Local-First). The Privacy Policy explains how personal data is handled on the App (local by default) and on the Website (minimal, purpose-bound collection).

Conflict rule: If there is a conflict, the Privacy Policy controls for data practices; these Terms control for use of the Service (license, acceptable use, liability, etc.).

3. Eligibility & accounts

  • Minimum age: You must be at least 18 years old to use the Service.
  • Accounts (Website): If you create an account or join a waitlist, you must provide accurate information and keep credentials secure. You are responsible for actions under your account.

4. License & ownership

  • Your Content & Outputs: You retain 100% ownership of your Content and Outputs.
  • App License: Subject to these Terms, BAISS grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on devices you own or control.
  • Restrictions: You may not copy, modify, reverse engineer, decompile, disassemble, or attempt to extract source code of the App except where permitted by mandatory law.
  • Service IP: The App, Website, documentation, logos, and all related intellectual property are owned by BAISS and its licensors.

5. Local-First by default (No server access to your Content)

  • The App processes Content on your device.
  • Zero data transmission to BAISS: Your documents, prompts, outputs, and local indexes do not leave your device unless you explicitly enable Online Mode or connectors.
  • BAISS does not have access to your Content by default.

6. Optional Online Mode & third-party connectors

If you enable Online Mode or connect a third-party service (e.g., your own model API key, storage provider, or productivity app):

  • Requests are sent directly from your device to that provider using your credentials.
  • BAISS does not receive or store your Content or credentials.
  • The third-party's own terms and privacy policy govern their handling of your data.
  • You can disable connectors at any time in the App.

You are responsible for your third-party accounts, keys, and compliance with those third-party terms.

7. Acceptable use

You agree not to:

  1. Violate any applicable law or regulation.
  2. Infringe intellectual-property or privacy rights.
  3. Upload or generate Content that is unlawful, harmful, or abusive.
  4. Attempt to bypass technical restrictions, interfere with the Service, or probe security.
  5. Use the App to create malicious code, spam, or illegal surveillance.
  6. Misrepresent AI-generated Outputs as human work where disclosure is required by law or contract.
  7. Use the App or Outputs to build or train a directly competing model or service without our prior written consent.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if:

  • You materially breach these Terms.
  • We are required to do so by law.
  • Your use poses a security or integrity risk.

Upon termination, your license to the App ends and you must uninstall it.

9. Payments & subscriptions

  • Billing: The current version is free, future features may be paid.
  • Renewal: Subscriptions auto-renew unless canceled.

10. Open-source components

The App may include open-source software. To the extent the open-source licenses conflict with these Terms, those licenses control for the relevant components. Notices will be provided in the App or documentation.

11. Export & sanctions

You must comply with applicable export-control and sanctions laws. You may not use the Service where prohibited by such laws.

12. Changes to the Service and to these Terms

We may modify the Service and these Terms. Material changes will be posted on the Website and/or in-app. Continued use after changes become effective constitutes acceptance.

13. No warranties and limitation of liability

The Service is provided "as is" without warranties of any kind. We do not guarantee AI accuracy or reliability.

To the maximum extent permitted by law, BAISS is not liable for any damage to your computer or device, operating system, files, storage media, peripherals, data loss or corruption, security incidents, or recovery costs, including those arising from installation, updates, local processing, or your use of third-party connectors or services.

14. Governing law

These Terms follow EU law and your local laws, where applicable.
